I think that there are a lot of MP3 players that would meet many of your requirements but I don't know what your specific cost requirements are. One example, I saw out on fatwallet.com there was a deal for a COBY MP-C885 - 1GB USB Stick MP3 Player for $35. (If you miss this deal, don't panic, there's always another one.) Or, you could also go directly to the Creative Labs website and order a MuVo Micro N200 512MB for around $40. I am not familiar with the performance of any of these devices but I usually go to amazon.com and read the reviews first. Usually, these are closeout prices and so that means the product will no longer be available soon.
Basically all of the players are going to be Mac and windows compatible. The only issue normally is sometimes there is bundled software which is often only windows compatible. Don't think you'd really need special software to support the basic functions of the device. For the most part all usb devices of this type present themselves as a storage device to the operating system and so no special software is required to access them. You may need a shareware utilty to convert WMA files to MP3 on the Mac.
